Introduction
These Terms of Use (“Terms”) govern your access to and use of the sac.ng website, including all pages, content, resources, tools, and materials made available through it (collectively, the “Website”).
The Website is operated by Stephen Alaekwe & Co (“SAC”, “we”, “us”, or “our”), a professional services firm incorporated in Nigeria under the Companies and Allied Matters Act (CAC Registration No. RC 2638736), and a licensed Data Protection Compliance Organisation under the Nigeria Data Protection Act 2023 (NDPC Licence No. NDPC/DCP/01784).
By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website.
These Terms apply to all visitors, whether browsing generally, requesting resources, or submitting enquiries. They apply in addition to any specific terms agreed between SAC and a client in the context of a formal advisory engagement.
These Terms should be read alongside the SAC Privacy Notice and Cookie Notice, which govern the collection and use of personal data and cookies in connection with your use of the Website.
Use of Website
The Website is made available for general informational and professional awareness purposes relating to SAC’s advisory services, training programmes, compliance resources, and related professional content. Subject to these Terms, you are permitted to access and use the Website for lawful, non-commercial, personal, or professional information-gathering purposes.
You may print or download content from the Website for your own personal or internal professional use, provided that you do not modify the content, remove any attribution or proprietary notices, or use the content in a manner that could mislead others as to its source or SAC’s endorsement of any position or product.
You must not use the Website:
- For any purpose that is unlawful or in breach of any applicable law or regulation
- To reproduce, duplicate, copy, or re-sell any part of the Website or its content in a manner not permitted by these Terms
- To transmit, or procure the transmission of, any unsolicited or unauthorised advertising or promotional material
- To impersonate SAC, any SAC employee or representative, or any other person
- In any way that may damage, disrupt, or impair the Website or its availability to other users
Access to the Website is permitted on a temporary basis. SAC reserves the right to withdraw or modify access to the Website, or any part of it, at any time without notice.
No Professional Advice Disclaimer
The content published on the Website — including articles, guides, checklists, scorecards, briefings, and all other materials — is provided for general information and awareness purposes only.
It does not constitute, and must not be relied upon as, legal advice, regulatory advice, data protection advice, financial advice, or any other form of professional advisory opinion. It is not a substitute for professional advice specific to your circumstances.
In particular, and without limitation:
- No client-adviser relationship is created by your access to, or use of, the Website, including by downloading resources, reading insights, submitting an enquiry form, or subscribing to communications. A client-adviser relationship is created only when SAC and a client have entered into a formal written engagement agreement signed by an authorised representative of SAC.
- Regulatory and legal obligations vary by organisation, sector, processing activity, and jurisdiction. The content on the Website does not account for your specific circumstances and should not be applied to your situation without independent professional advice.
- The regulatory landscape changes. While SAC makes reasonable efforts to keep Website content current, it may not reflect the most recent legislative changes, NDPC guidance, or regulatory developments at the time you access it. Always verify the current position with a qualified practitioner.
- Resources and tools provided on the Website — including checklists, scorecards, DPIA starter packs, and similar materials — are designed as general starting points. They are not DPCO-certified compliance outputs and do not constitute a representation that any organisation using them is compliant with applicable law.
If you require professional advice in relation to your organisation’s specific obligations under the NDPA, GAID, CBN guidelines, or any other regulatory framework, SAC encourages you to contact us directly to discuss a formal engagement. A 20-minute diagnostic conversation is available at no obligation.
Nothing in these Terms limits or excludes any liability that cannot be lawfully limited or excluded under Nigerian law, including any liability arising from SAC’s professional obligations as an NDPC-licensed DPCO or otherwise regulated professional body.
Intellectual Property
The Website and all content it contains — including but not limited to text, articles, guides, checklists, scorecards, templates, data visualisations, graphic elements, logos, typefaces, colour schemes, and the overall design — are the intellectual property of Stephen Alaekwe & Co or its licensors, and are protected by applicable Nigerian and international copyright, trademark, and intellectual property law.
SAC grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and its content for the purposes described in Section 2 of these Terms. This licence does not permit you to:
- Reproduce, republish, distribute, or communicate any content from the Website to the public without SAC’s prior written consent, except as permitted by law
- Create derivative works based on Website content without SAC’s prior written consent
- Use SAC’s name, logo, trade name, credential designations, or any other branding element in a manner not expressly authorised
- Remove, alter, or obscure any copyright notice, attribution, credential reference, or proprietary marking from any content
- Use Website content for commercial purposes, including in client-facing materials, without SAC’s prior written consent
Where SAC content is shared, quoted, or referenced in professional or academic contexts with proper attribution — identifying SAC as the source, including the URL, and not misrepresenting SAC’s views — SAC regards such use as generally permissible and consistent with the purposes for which the content is published. SAC reserves the right to withdraw this permission in respect of specific content or uses at any time.
The SAC name, hexagonal monogram, and associated credential designations are marks of Stephen Alaekwe & Co. Unauthorised use is not permitted.
Acceptable Use
You agree to use the Website only in a manner consistent with these Terms and all applicable laws and regulations. The following conduct is expressly prohibited and may result in your access being terminated and, where appropriate, legal action being taken:
- Automated scraping or data mining — using bots, crawlers, scrapers, or other automated tools to extract content, data, or materials from the Website at scale without SAC’s express written permission
- Security interference — attempting to gain unauthorised access to any part of the Website, its hosting infrastructure, or any system or network connected to the Website
- Malicious code — introducing viruses, trojans, worms, logic bombs, or other technologically harmful material to the Website or its users
- Denial of service — attacking the Website via denial-of-service attack, distributed denial-of-service attack, or any other method designed to impair its availability or performance
- Misrepresentation — representing Website content, resources, or checklists as your own original work, or as having been prepared, certified, or endorsed by SAC in a context where no formal engagement exists
- Impersonation — misrepresenting your identity or affiliation in connection with your use of the Website or any SAC resource
- Harassment or abuse — using the Website’s contact or communication functions to harass, threaten, or abuse SAC personnel or any other party
SAC reserves the right to report any breach of this section to the relevant law enforcement or regulatory authorities and to cooperate fully with those authorities.
Third-Party Links
The Website may contain links to third-party websites, resources, regulatory guidance documents, and external services for informational convenience. These include links to the Nigeria Data Protection Commission website, ISACA, IIM Africa, the Financial Reporting Council of Nigeria, and other professional and regulatory bodies referenced in SAC’s content.
SAC has no control over the content of those external websites and accepts no responsibility or liability for:
- The accuracy, completeness, or currency of content on any third-party website
- The privacy practices or data collection activities of any third-party website
- Any loss or damage arising from your use of or reliance on any third-party website or content
- Any products, services, or advice offered by third parties linked to or from the Website
The inclusion of a link to a third-party website does not constitute SAC’s endorsement, recommendation, or approval of that website, its operator, or its content. You access third-party websites at your own risk and subject to that website’s own terms and policies.
Regulatory body links — Links to the NDPC, ISACA, IIM Africa, CAC, and other regulatory or professional bodies are provided for reference only. The content of those websites is controlled by their respective operators and may change without notice. Always verify regulatory requirements directly with the applicable body.
Limitation of Liability
To the fullest extent permitted by applicable Nigerian law, SAC, its principals, officers, employees, and agents shall not be liable to any person for any loss or damage — whether direct, indirect, incidental, consequential, special, or exemplary — arising from or in connection with:
(a) your access to or use of, or inability to access or use, the Website or any content on it;
(b) your reliance on any information, content, resource, checklist, tool, or other material available on or through the Website;
(c) any inaccuracy, incompleteness, or outdated information in Website content;
(d) any interruption, suspension, or termination of access to the Website or any part of it;
(e) any third-party website linked to or from the Website; or
(f) any unauthorised access to or use of SAC’s systems or data.
SAC makes no warranty, express or implied, as to the accuracy, completeness, fitness for purpose, or non-infringement of any content on the Website. The Website and its content are provided on an “as is” and “as available” basis without warranty of any kind.
Where SAC has entered into a formal written advisory engagement with a client, the terms of that engagement govern the scope of SAC’s professional liability to that client. The limitations in this section relate solely to Website use and do not affect SAC’s professional obligations in the context of a formal engagement.
Nothing in these Terms limits SAC’s liability for death or personal injury caused by SAC’s negligence, for fraud or fraudulent misrepresentation, or for any other matter where limitation or exclusion of liability is not permitted under Nigerian law.
Changes to the Website and These Terms
SAC reserves the right to amend, update, expand, reduce, or discontinue the Website, or any part of it, at any time and without notice. This includes the right to add or remove content, services, resources, tools, and features, and to change the Website’s structure, navigation, and design.
SAC also reserves the right to amend these Terms at any time. When material changes are made, SAC will update the “Last reviewed” date at the top of this page. Where the changes are significant, SAC may provide additional notice through the Website or by email to active subscribers.
Your continued use of the Website following any amendment to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Website. We recommend reviewing these Terms periodically.
The Terms in force at the time of your use of the Website govern that use. Prior versions of these Terms are available on request from info@sac.ng.
Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes and claims), are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
The courts of the Federal Republic of Nigeria shall have non-exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. SAC retains the right to bring proceedings in any court of competent jurisdiction to seek urgent or interim relief or to enforce an award or order.
If any provision of these Terms is found by a court of competent jurisdiction to be unlawful, void, or unenforceable for any reason, that provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
These Terms constitute the entire agreement between you and SAC in relation to the use of the Website and supersede all prior agreements, representations, and understandings of any kind relating to the same subject matter, except to the extent expressly incorporated herein by reference.
